1. Acceptance

These Terms of Service ("Terms") govern your use of Beside ("Beside", the "Service"), a consumer messaging service operated by Loki Labs ("Loki", "we", "our"), a company established in Poland. Beside lives at beside.chat and appears as a contact in your Messages app. By texting Beside or otherwise using the Service, you agree to these Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Beside. The Service is not available in countries subject to U.S. trade sanctions.

3. Your Number and Access

Beside has no username or password. It identifies you by the phone number or iMessage handle you text from. You are responsible for keeping your device and your Messages app secure, since anyone with access to them can text Beside and spend your credits. If you believe someone else is using your number with Beside, contact us at loki@beside.chat.

4. Acceptable Use

You agree not to use Beside to:

Send unsolicited bulk messages, "spam", or phishing, or to violate any applicable communications or privacy law
Impersonate another person, or misrepresent your affiliation with any person or organization
Send content that is harassing, threatening, sexually explicit involving minors, or that promotes violence or illegal activity
Probe, scan, or test the vulnerability of the Service without prior written authorization
Reverse engineer, resell, or redistribute the Service other than as expressly permitted
Build a competing product using non-public technical information about the Service

We may suspend or terminate access for violations of this section without prior notice if we believe immediate action is required to protect users or the Service.

5. Location and Recommendations

Beside works by watching the map around your live location. You choose when to share your location, using Apple's own location sharing inside Messages, and you can stop sharing at any time.

Beside's suggestions, and any place details it surfaces such as hours, distances, availability, or prices, may be incomplete, out of date, or wrong. Confirm anything important with the place itself before you rely on it. Where Beside helps you book or reserve with a third party, that booking is between you and the third party under their own terms; Beside is not a party to it.

6. Credits and Billing

Beside starts free: every new number begins with 1,000 free credits, with no credit card required. Pricing for plans and top-ups is published at beside.chat/#pricing. Plan credits reset each billing cycle; signup, top-up, and referral credits do not expire.

Paid plans and top-ups are billed through Stripe. You authorize us to charge your payment method for the plan or top-up you select, including any applicable taxes. Fees are non-refundable except where required by law. You can change or cancel a plan at any time through the billing portal; text Beside "billing portal" to reach it.

7. Your Messages

The messages, photos, and other materials you send to Beside ("Your Content") remain yours. You grant Loki a worldwide, royalty-free license to host, store, transmit, and process Your Content solely to provide and improve the Service. We do not use Your Content to train third-party AI models.

You represent that you have all rights necessary to submit Your Content and that it does not infringe any third-party rights.

8. Third-Party Services

Beside relies on third parties including Cloudflare, Apple (iMessage), Stripe, PostHog and Google Analytics (product and website analytics), mapping and place-data providers (such as OpenStreetMap and Google Maps), and AI model providers (such as Anthropic). Your use of those services through Beside is subject to their terms. We are not responsible for the availability, accuracy, or actions of any third-party service.

9. Service Availability

We aim to keep Beside available, but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance and third-party outages may affect availability.

10. Intellectual Property

Loki retains all rights in and to Beside, including software, documentation, trademarks, and brand assets. Nothing in these Terms grants you any license to our intellectual property except the limited right to use the Service as provided.

11. Disclaimers

Beside is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs and place information may be incorrect, incomplete, or offensive. You are responsible for reviewing what Beside tells you before acting on it.

12. Limitation of Liability

To the maximum extent permitted by law, Loki and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) US$100.

13. Indemnification

You will defend, indemnify, and hold harmless Loki from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.

14. Termination

You may stop using Beside at any time. To wind down, text Beside "stop" to pause messages, or message loki@beside.chat to close out and delete your data. We may suspend or terminate your access for material breach of these Terms or as required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (including sections 7 and 10 through 13, and 16) will survive.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by text or on beside.chat at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively by the courts of competent jurisdiction in Warsaw, Poland, and you consent to personal jurisdiction there.

Nothing in this section limits any non-waivable rights that consumers residing in the EU, UK, or other jurisdictions may have under applicable mandatory law, including the right to bring proceedings in the courts of their country of residence.
